The Cancellation & Refund Policy is incorporated into these Terms. If the Cancellation & Refund Policy provides more specific terms for a particular purchase, those specific terms will apply, subject to applicable law.
Payments
Payment is due at booking, checkout, or according to any written payment plan provided for the applicable service or program.
By submitting payment information, you authorize Bate Consulting, LLC, doing business as The Forged Phoenix, and its payment processor to charge the selected payment method for the services purchased.
Prices may change at any time. A price change will not affect services that have already been purchased and paid for unless otherwise stated in written program-specific terms.

Late-cancellation fees;
No-show fees;
Unpaid balances;
Amounts due under an applicable payment plan; and
Other charges expressly authorized by these Terms or the written terms provided at purchase.
The authorization applies to the payment method provided during booking or checkout, including a card saved by the applicable booking or payment platform. You agree to maintain a valid payment method on file and to update it if necessary.
Charges will remain subject to applicable law, any applicable payment-processor requirements, and any non-waivable consumer cancellation or refund rights.

Clients may use a Flexible Spending Account or Health Savings Account payment card at their own election and risk.
The Forged Phoenix makes no representation or warranty that its services qualify as eligible medical expenses under Section 213(d) of the Internal Revenue Code or under any applicable FSA or HSA plan.
Determining whether a service is eligible is solely the client’s responsibility and may depend on the client’s plan administrator, administrator rules, documentation requirements, and applicable tax law.
The Forged Phoenix does not provide tax, legal, medical, benefits, or FSA/HSA eligibility advice. Clients should consult their plan administrator or qualified tax professional before using an FSA or HSA payment card.

Although reasonable efforts are made to keep website content accurate and current, The Forged Phoenix does not warrant that website content will always be complete, accurate, current, reliable, or error-free.

Limitation of Liability
To the fullest extent permitted by applicable law, Bate Consulting, LLC, doing business as The Forged Phoenix, and its owner, practitioners, employees, contractors, agents, and representatives will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings arising out of or related to:
Use of the website;
Participation in services;
Reliance on information provided by The Forged Phoenix;
Technical interruptions;
Third-party platforms;
Unauthorized access to electronic communications;
Personal decisions or actions taken by a client; or
Any other matter connected with the website or services.
To the fullest extent permitted by law, the aggregate liability of Bate Consulting, LLC and The Forged Phoenix for any claim arising out of or relating to a service will not exceed the amount the client paid to The Forged Phoenix for the specific service giving rise to the claim.
The limitations in this section apply regardless of the legal theory asserted, including contract, tort, negligence, statutory claim, or another theory, and even if The Forged Phoenix has been advised of the possibility of the damages.
Nothing in these Terms limits liability or rights that cannot legally be waived, excluded, or limited under Michigan law.
Right to Refuse or Discontinue Services
Bate Consulting, LLC and The Forged Phoenix reserve the right to decline, pause, discontinue, or terminate services when appropriate.
This may include circumstances involving:
Abusive, threatening, discriminatory, or harassing behavior;

A conflict of interest;
A request for services outside the scope of services offered; or
Circumstances in which continued participation may not be appropriate.
When appropriate, The Forged Phoenix may encourage a client to seek support from another qualified professional or appropriate emergency resource.
If The Forged Phoenix terminates a prepaid service before the service is provided, any refund or credit will be handled in accordance with the applicable written policy and applicable law.
Force Majeure
Bate Consulting, LLC and The Forged Phoenix will not be responsible for delay, interruption, or failure to provide services caused by events beyond reasonable control, including:
Severe weather;
Illness or incapacity;

Acceptance of Terms and Electronic Signatures
A client accepts these Terms by any of the following:
Checking a box indicating acceptance during booking or checkout;
Signing these Terms or another agreement electronically;
Booking or purchasing services after being given access to these Terms;
Participating in a service after receiving or being directed to these Terms; or
Continuing to use the website or services after these Terms are posted or provided.
The parties agree to conduct transactions electronically. Under Michigan’s Uniform Electronic Transactions Act, including MCL 450.837 and related provisions, an electronic record or electronic signature will not be denied legal effect or enforceability solely because it is electronic.
An electronic signature, checkbox, click-through acceptance, typed name, electronic acknowledgment, or other electronic process adopted with the intent to sign or accept may constitute a valid signature or acceptance. Electronic records may be retained and used as evidence of the parties’ agreement.
You consent to receive these Terms, notices, invoices, receipts, policies, and other transaction-related communications electronically. You are responsible for maintaining access to the email address and contact information provided to The Forged Phoenix.
Dispute Resolution and Governing Law
These Terms and any dispute arising out of or relating to the website, services, or relationship between the parties are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
Before filing a court action, the parties will consider in good faith whether a voluntary, non-binding mediation may help resolve the dispute. Neither party is required to agree to mediation, and neither party is required to mediate before seeking urgent injunctive or equitable relief.
If the parties voluntarily agree to mediation, mediation costs will be shared equally unless the parties agree otherwise in writing.
Except for claims properly filed in small claims court, any court action relating to these Terms, the website, or services must be brought exclusively in the state courts or circuit courts located in Oakland County, Michigan. Each party consents to personal jurisdiction and venue in those courts, subject to applicable law.
Either party may pursue a claim that is properly within the jurisdiction of Michigan small claims court or a district court’s small claims division. Filing or pursuing a claim in an authorized small claims forum does not waive any right or remedy that cannot legally be waived.
Nothing in this section prevents a party from seeking emergency or urgent injunctive or equitable relief from a court with appropriate jurisdiction.
Changes to These Terms
Bate Consulting, LLC may update these Terms from time to time as the website, services, technology, business practices, or legal requirements change.
The revised Terms will be posted on the website with an updated effective date unless otherwise stated. Changes will apply prospectively and will not alter services already purchased except as permitted by applicable written program terms or law.
Continued use of the website or services after revised Terms are posted constitutes acceptance of the revised Terms.
Severability
If any portion of these Terms is found to be invalid, unlawful, or unenforceable, that portion will be enforced to the fullest extent permitted by law or severed as necessary. The remaining provisions will remain in effect.
Entire Agreement
These Terms, together with the Privacy Policy, Cancellation & Refund Policy, any applicable program-specific terms, payment-plan terms, consent forms, and other written agreements provided for a particular service, constitute the entire agreement between the client and Bate Consulting, LLC regarding the applicable website use or services.
If written program-specific terms are provided to and acknowledged by the client at or before purchase, those terms control over these general Terms only to the extent of a direct conflict for that particular program.
No oral statement, informal communication, advertisement, or prior course of dealing modifies these Terms unless confirmed in writing by Bate Consulting, LLC.
